1. Definitions
"Conditions" means the terms and conditions of sale set out in this document.
"Contract" means a contract for the purchase by the client from Media Taskforce Inc. of the Product subject to these Conditions.
"Product(s)" means a service or services, a product or products ordered from Media Taskforce Inc.
"Client" and "You" is defined as any organization (e.g. a company or business of any kind) or individual who has agreed to let Media Taskforce carry out a service or produce a product for them.
"Media Taskforce" and "Media Taskforce Inc." means Media Taskforce Inc., 1537 E Ocean Blvd. 2, Long Beach, CA 90802, USA
2. General Conditions
To order a Product through this website you must be at least 18 years of age and have the legal capacity to enter into this agreement.
If one part of the Contract is rendered invalid or unenforceable for any reason then the rest of the Contract remains valid.
3. Media Taskforce Contract
By completing the details and clicking the "I agree" and "submit" button on the Media Taskforce "Order Now" screen you are offering to buy the Product(s) subject to these Conditions.
We will confirm electronically whether your order is accepted and indicate when you can expect delivery. It is only when you receive confirmation from us that your order is accepted that a binding Contract exists. Any delivery date given is an indication only which Media Taskforce Inc. will use all reasonable efforts to achieve but Media Taskforce Inc. reserves the right to amend such delivery date if necessary.
4. Availability
We have the right to refuse at our discretion to supply any Product ordered.
Any dates we specify for the delivery of the Product are approximate.
Media Taskforce Inc. will not be responsible for compensating you for any losses, costs, damages, charges or expenses caused by the delay, or non-supply of a Product.
5. Web Development Services
The client is responsible for supplying to Media Taskforce the required materials that will be included in the client's website ("Materials"). Media Taskforce must receive all of the Materials in order to complete the Website Service. All text and graphics must be supplied to Media Taskforce in electronic format and screen ready either by email to development@mediataskforce.com or on floppy disk or CD/R by mail to Media Taskforce, 1537 E Ocean Blvd. 2, Long Beach, CA 90802, USA. Media Taskforce does not accept any liability for lost materials which have not reached either of the above addresses.
Any Material not supplied in electronic format will be subject to an additional fee, such fee to be notified to you after submission and assessment of the Material.
6. Website Content
The client shall be responsible for ensuring that any Material provided by the client to Media Taskforce and any material added by the client or any other third party is not in any way unlawful or provided in breach of any third party' intellectual property rights. In particular, the client is responsible for ensuring that all necessary licenses and consents (including those from owners of intellectual property rights in such Material/material) have been properly obtained and that all laws and regulations concerning the content of websites are complied with.
7. Development
Media Taskforce Inc. shall notify you by e-mail once the Media Taskforce team has completed your website ("Completion e-mail"). Upon your request, Media Taskforce shall carry out one set of reasonable changes to meet your reasonable requirements, prior to the website going live. Any amendment over and above shall be separately chargeable at charges which shall be notified to you on request, as such charges are dependent upon the extent of the required amendment.
8. Payment
Full payment will be due when Media Taskforce is ready for delivery which may be at any time after you have placed the order although it will normally be around three (3) business days after the order is placed and all necessary assets have been received in format as described under Art. 5 by Media Taskforce from the client. Delivery of the final product will normally take place approximately one (1) working day after payment of the balance of the full payment.
Title in the Product will not pass until Media Taskforce Inc. has received payment in full.
9. Delivery
Your order will be placed on our development server for a maximum of 25 business days till full payment is received. Once full payment is received, Media Taskforce Inc. will release the website to the clients server within 1 (one) business day. It is the client's responsibility to provide Media Taskforce all necessary information to enable the upload.
10. Cancellation Policy
You can cancel your order in writing within 5 business days of ordering. You will then be refunded in full within 30 days.
11. Intellectual Property Rights
All material created by Media Taskforce for the client's website is licensed for the purpose of on-line representation as outlined in the order form for an unlimited time period. Licenses for usage outside the scope outlined in the order form or outside the on-line internet presentation are subject to additional fees.
12. Guarantee
Media Taskforce Products are made to demanding high quality standards and are fully guaranteed for a period of 2 months from the date of delivery.
Media Taskforce's liability shall in all cases be limited to correcting any faulty Product.
13. Indemnification
You agree to indemnify Media Taskforce and keep Media Taskforce indemnified against any expenses, losses, liabilities, damages or costs incurred and any claims or legal proceedings which are brought or threatened against Media Taskforce arising from any materials supplied by you or on your behalf, linked websites or your use of the website following Acceptance.
14. Privacy Policy
Media Taskforce Inc. will not supply the clients information to any third party without your prior permission except in so far as is necessary to enable us to fulfill our obligations to the client (e.g. to enable delivery of the Product to be completed).
15. Jurisdiction
Claims, disputes or other matters in question between the parties to this agreement arising out of or relating to this agreement or breach thereof shall be settled in Long Beach, California municipal court. Unless otherwise provided, this agreements shall be governed by the law of the principal place of business of Media Taskforce Inc.
